Client Service Agreement

Introduction

This Client Service Agreement (“Agreement”) governs the provision of services by byKlash Ltd (“the Agency”, “we”, “us”, or “our”) to the Client (“you”, “your”).

By engaging the Agency for services, you agree to the terms of this Agreement.

Our Terms & Conditions, available at byklash.com/terms-conditions, form part of this Agreement.

1. Services

The Agency provides services including, but not limited to:

  • Website design and development
  • Website hosting and maintenance
  • Branding and graphic design
  • Print design and production
  • Digital consulting

The specific scope of services will be defined in the proposal, quotation, or invoice.

2. Project Scope

Project scope, deliverables, and timelines will be outlined in the proposal or quotation.

Work outside the agreed scope may require additional fees and extended timelines.

3. Client Responsibilities

You agree to:

  • Provide all required content, materials, and information
  • Ensure all provided materials do not infringe third-party rights

4. Revisions

Projects may include a limited number of revisions as specified in the proposal.

Additional revisions or changes outside scope may incur extra charges.

5. Website Subscription Services

If you purchase a monthly website subscription, you agree to pay the applicable monthly fee.

Subscription services may include:

  • Hosting
  • Maintenance and updates
  • Security monitoring
  • Technical support
  • Software licensing (where applicable)

6. Minimum Contract Term

Website subscription services provided by byKlash Ltd are subject to a minimum contract term of 6 to 24 months, depending on the selected plan and agreement.

By proceeding with payment and onboarding, the Client agrees to the following:

  • Monthly payments must continue for the duration of the agreed minimum term.
  • Work may begin immediately following payment, onboarding completion, or written approval from the Client.
  • Setup fees, onboarding fees, strategy fees, design fees, and completed work are non-refundable once work has commenced.
Cancellation Before Website Launch

If the Client cancels the project before the website has been launched or delivered, byKlash Ltd reserves the right to charge for:

  • all work completed up to the cancellation date;
  • any committed third-party costs, including hosting, domains, software, plugins, subscriptions, or production costs;
  • and an early termination fee equal to 30% of the remaining minimum contract value.
Cancellation After Website Launch

If the Client cancels after the website has been launched, delivered, or made live, the remaining balance for the agreed minimum contract term shall become immediately payable.

After the minimum term has ended, subscriptions continue on a rolling monthly basis unless cancelled in writing with at least 30 days’ notice.

If applicable under consumer protection regulations, the Client expressly requests that services begin immediately and acknowledges that cancellation rights may be reduced or lost once work has commenced.

7. Payments & Billing

Payments may include:

  • Deposits
  • Milestone payments
  • Monthly subscriptions
  • Hosting or maintenance fees

Payments may be processed via:

  • Stripe
  • Direct Debit
  • Bank transfer

For subscription services, you authorise recurring billing.

8. Late Payments

If payment is overdue, we may:

  • Suspend hosting or maintenance
  • Restrict website access
  • Delay project work

Services resume once outstanding balances are cleared.

9. Website Ownership

Websites built under a subscription model remain the property of byKlash Ltd during the active subscription.

Ownership may transfer once the equivalent of the full development cost has been paid (typically after 12 months).

If cancelled before this point, the website remains the property of the Agency.

10. Termination

Either party may terminate services with written notice.

If termination occurs during the minimum contract period:

  • Remaining balances or termination fees may apply

If ownership conditions are not met, the website remains the property of byKlash Ltd.

11. Portfolio Rights

We reserve the right to showcase completed work in our portfolio, marketing materials, or case studies.

12. Governing Law

This Agreement is governed by the laws of England and Wales.
